A corporate body is created by the law. Some of the main characteristics of a company are: Corporate Personality enabling it to enter into contracts and possess property in its name, ability to sue and to be sued, perpetual succession, common seal and separate management etc. A company is given certain rights, obligations and duties by law. It enjoys the powers bestowed by the Memorandum of Association within the limitations stipulated.

A company comes into existence only after its registration under the Companies Act (or any other law for the time being in force). To be eligible for registration, a company has to fulfil certain prerequisites w.r.t documents such as Memorandum of Association, Articles of Association, no. of shareholders, directors, share capital etc.

The Companies Act 1956 was enacted to consolidate the existing corporate laws and to provide a new basis for corporate operation in independent India. However, the need for restructuring this legislation was felt from time to time as the corporate sector grew in pace with the Indian economy, with as many as 24 amendments taking place since 1956. Eventually, The Companies Act 2013 replaced the Companies Act, 1956 with ample provisions to regulate all listed and unlisted companies, body corporates, statutory entities created under other legislations.

The National Company Law Tribunal (NCLT) has been established as the supreme authority responsible for the administration of the Act. It has been given the jurisdiction to settle disputes in relation to the companies, and to supervise the structures and laws of the companies. The Tribunal is presided over by a person who is or has been a judge of a High Court for 5 years. Additionally, the National Company Law Appellate Tribunal (NCLAT) has been set up to hear appeals against the orders of National Company Law Tribunal (NCLT). Further, Special Courts have also been constituted to deal with and dispose of criminal offences under the Act. Finally, the Supreme Court has been empowered to hear appeals against the orders of National Company Law Appellate Tribunal.
